عصر المعلوماتيه وما نتج عنه من تطورات في المعاملات التجارية، أدى إلى تطور التجارة في کافة نواحيها وسهل على التجار والعملاء (الزبائن) إدارة تجارتهم وإتمام معاملاتهم. دخلت العقود الإلکترونية في کافة فروع الحياة ومنها التصرفات التجارية الأمر الذي جعلها تساعد کافة فئات المجتمع ، ولتؤدي التجارة الإلکترونية غايتها کان لابد من بيان ماهية عقود البيئة الإلکترونية بالرغم من الإشکالات العملية التي من الممکن أن تواجه هذه العقود؛ هذا بالإضافة لبيان بعض العقود المتداولة من حيث السلبيات والإيجابيات الموجودة فيها لمحاولة معالجة السلبيات أو الحد منها قدر الإمکان .
تحتاج عقود البيئة الإلکترونية لدرجة من الدقة والوضوح في بيان ماهية العقد الإلکتروني؛ سواء في ضوء الطريقة التي ينعقد بها العقد, أو مدى اعتبار هذا العقد من العقود المبرمة عن بعد. فيترتب على ذلک ضرورة تمييز هذه العقود عن غيرها من العقود التي تبرم عن بعد بالإضافة إلى تمييز عقد التجارة الإلکترونية عن العقود المحيطة في البيئة الإلکترونية ذاتها.
إلا أن تحديد ماهية العقود الإلکترونية وتميز العقود الإلکترونية عن بعضها البعض أو العقود المحيطة بالبيئة الإلکترونية أمر من الضروري توافره, ذلک لتنظيم أساس هذه العقود التي تبرم عبر وسائل إلکترونية, لأنها متعددة ومتنوعة, وتمس حقوق الغير سواء کان مقدم الخدمة، أو المنتج، أو العميل وسوف نقوم بدراسة وتوضيح ذلک على النحو التالي:

Contracts for the electronic environment require a degree of accuracy and clarity in the statement of the nature of the electronic contract, whether in the light of the manner in which the contract is held or the extent to which this contract is considered a remote contract. It is necessary to distinguish these contracts from other remote contracts as well as to distinguish the electronic commerce contract from the surrounding contracts in the electronic environment itself.
